These Terms & Conditions govern the contractual relationship between the Agency and its clients. By engaging our services, clients agree to the following:
Scope of Service
- The Agency provides video editing and related post-production services (e.g., motion graphics, color grading, sound editing).
- The exact scope of work, deliverables, and timelines will be outlined in a written agreement or project brief.
Client Engagement and Contracts
- Proposals and Quotations
- We provide written proposals outlining scope, cost, and delivery schedule.
- Quotations are valid for a specified period (e.g., 30 days) unless otherwise stated.
- Written Agreements
- Each project requires a signed contract or purchase order detailing fees, payment terms, revision rounds, and intellectual property rights.
- Any modifications (e.g., change requests) must be documented in writing and agreed upon by both parties.
Pricing and Payment Terms
- A typical structure might require a 50% advance payment, with the remaining 50% due upon final delivery.
- Late payments may incur interest charges, as specified in the contract.
- All payments must comply with Indian tax regulations (GST, TDS, etc.).
Revisions and Refunds
- Revisions
- Clients are entitled to a fixed number of revision rounds (e.g., two or three), as specified in the contract.
- Beyond the agreed number, additional charges may apply.
- Refund Policy
- Refunds for cancellations depend on the percentage of work completed at the time of cancellation.
- Should the Agency need to cancel for any reason, the client will be refunded for any uncompleted portion of work.
Intellectual Property
- Client Materials
- All materials provided by the client (scripts, footage, etc.) remain the client’s property.
- It is the client’s responsibility to ensure they have legal rights to all materials.
- Agency-Created Content
- Original creative work (animations, edits) produced by the Agency becomes the client’s property upon receipt of full payment.
- Unless restricted, the Agency may keep copies for internal archival or portfolio use.
- Third-Party Licenses
- The Agency will only use properly licensed stock footage, images, and music.
- Any related licensing fees or royalties will be communicated to and agreed upon by the client in advance.
Dispute Resolution
- Any disputes are first attempted to be resolved through mutual discussion.
- If unresolved, they may be referred to mediation or arbitration under Indian laws, or litigated in courts having appropriate jurisdiction.
Termination
- Termination by the Agency
- The Agency may terminate if a client breaches the contract or engages in unethical practices.
- Written notice will be provided, and payment for completed work is due.
- Termination by the Client
- Clients may terminate if the Agency fails to meet its obligations.
- Written notice is required, and payment for completed work or milestones is due.
Amendments to Terms & Conditions
- These Terms & Conditions may be updated or amended periodically.
- Clients will be informed of any significant changes and shall have the option to accept or reject the new terms.
